Matcher.jobs Platform – Terms of Use

IMPORTANT – Please read these Terms carefully before using the Platform or Marcel.

By accessing or using the Platform or Marcel, or by clicking “Agree” when first registering or accessing the Platform or Marcel, you acknowledge that you have read, understood, and accepted these Terms.


1. THE PLATFORM 

1.1 The Platform and Marcel are operated and made available by Matcher.jobs, a public limited company (naamloze vennootschap) incorporated under Belgian law, with its registered office at Uitbreidingstraat 66, box 37, 2600 Berchem, Belgium, registered with company number 1018.641.441 (RPR Antwerp, division Antwerp) (hereinafter referred to as “Matcher.jobs”).


2. DEFINITIONS 

2.1 The following definitions shall apply to these Terms:

  • “Company” means any organisation or business entity that has entered into a commercial agreement with Matcher.jobs for the use of the Platform.

  • “User” means any applicant using Marcel and any person authorised by a Company (being a client of Matcher.jobs) to access and use the Platform.

  • “Intellectual Property Rights” means (without limitation) patents, trademarks, copyrights, rights in software (both object code and source code), design rights, database rights, proprietary rights in know-how, trade names, rights in confidential information (including, without limitation, trade secrets and know-how), and any other rights or forms of protection of a similar nature or having equivalent effect anywhere in the world, together with all applications, registrations or renewals thereof.

  • “Marcel” means the digital AI assistant available via WhatsApp or other communication applications, guiding applicants during the recruitment process by assessing potential matches in terms of values, norms, and company culture, based on a questionnaire derived from the Culture Fit Index (CFILytics®) and/or additional questions uploaded by the Company. Marcel engages candidates through a chat-based format.

  • “Platform” means the software platform that applies the Culture Fit Index (CFILytics®) framework to determine the extent to which potential applicants align with the values, norms, and culture specified by Companies, supporting Companies in their recruitment and talent-management activities.

  • “Terms” means these Terms of Use, as may be amended from time to time by Matcher.jobs.


3. SCOPE 

3.1 These Terms apply to any use of the Platform and/or Marcel and set out the rights and obligations of Users.

3.2 Users must be at least eighteen (18) years of age to use Marcel or the Platform.


4. USER ACCOUNT 

4.1 Platform: To access the Platform, a User must log in via the user account created for them. Users acknowledge that they may only access the Platform (through the Company’s environment) if the Company has registered them and created a separate account. Depending on their role, certain functionalities may be enabled or restricted. The User must treat their username and password as strictly confidential and acknowledges that these credentials are unique and must not be disclosed or shared with third parties (including within the same Company).

4.2 Marcel: Users may connect with Marcel by scanning a QR code on a Company’s career page or by clicking a link, which will initiate a chat with Marcel within the User’s personal WhatsApp environment or another communication tool. Marcel will ask questions based on the CFILytics® model and, where applicable, additional questions provided by the Company to assess the User’s cultural fit with that Company. Upon completion, the User will receive a culture match percentage, indicating the degree of alignment with that Company’s culture based on their responses.


5. RIGHT OF USE 

5.1 Matcher.jobs grants the User a revocable, non-exclusive, non-sublicensable, limited, and non-transferable right to use the Platform and/or Marcel in accordance with these Terms and any accompanying documentation, user manuals, and instructions issued from time to time. This right of use is granted solely for personal and non-commercial purposes.


6. USER OBLIGATIONS 

6.1 When using the Platform and/or Marcel, the User shall:

i. comply with all applicable local, national, and international laws, these Terms, and any related documentation or instructions provided by Matcher.jobs;

ii. ensure that all data entered into their account is truthful and complete;

iii. comply, where applicable, with any relevant terms and conditions of third-party providers or hosting partners (including, without limitation, WhatsApp); and

iv. behave respectfully towards other Users when interacting via the Platform and/or Marcel.


7. RESTRICTIONS ON USE

7.1 The User shall not:

i. use the Platform or Marcel in any unlawful manner, for any unlawful purpose, or in any way inconsistent with these Terms;

ii. act fraudulently or maliciously, including by distributing false or misleading information through the Platform and/or Marcel;

iii. impersonate any other person or entity;

iv. transmit or upload files containing viruses, Trojan horses, worms, bots, or any other software intended to damage, disable, render inaccessible, delete, or appropriate any automated system, or to circumvent any technical protection measures of the Platform, Marcel, or Matcher.jobs’ IT systems;

v. download or use documents or information (such as contact details of other Users) provided via the Platform or Marcel for any purpose other than those intended by Matcher.jobs;

vi. attempt to gain unauthorised access to accounts or data of other Users, manually or through automated means (including but not limited to the use of robots, spiders, crawlers, search or retrieval applications, or similar automated devices or processes);

vii. engage in conduct deemed by Matcher.jobs to be contrary to public order, morality, these Terms, or any applicable law or regulation (including, without limitation, using the Platform or Marcel to distribute spam or unlawful, offensive, threatening, defamatory, obscene, racist, sexual, or otherwise objectionable material);

viii. use the Platform or Marcel in a way that could damage, overload, impair, or compromise the Platform, Marcel, or their security systems, or interfere with other Users; or

ix. engage in any activity that is unlawful or could harm the reputation, goodwill, or interests of Matcher.jobs or any third party.


8. USER DATA 

8.1 The User acknowledges that they may upload, store, and share data, photos, videos, documents, and other information (“User Data”) within the Platform and Marcel.

8.2 The User grants Matcher.jobs the right to use such User Data insofar as necessary to enable the proper use and operation of the Platform, Marcel, and related services, and to improve their performance.

8.3 The User is solely responsible for the accuracy and legality of any User Data uploaded or distributed via the Platform or Marcel. Matcher.jobs accepts no responsibility for User Data shared by you or by other Users, including data published in job vacancies.

8.4 If you believe that another User has published content in breach of these Terms, you must immediately notify Matcher.jobs at [email protected].

8.5 Matcher.jobs reserves the right to remove or block any User Data that violates these Terms, without prior notice and without prejudice to any other rights or remedies available to Matcher.jobs.

8.6 The User warrants that the User Data does not infringe the (intellectual property) rights of third parties, does not breach applicable law, and will not adversely affect Matcher.jobs’ Platform, Marcel, reputation, or goodwill.


9. SHARING OF APPLICANT DATA 

9.1 Sharing of User Data: Applicant User Data shall only be shared with the specific Companies to which the User has applied, and only where a sufficient cultural match (i.e. greater than fifty percent (50%)) has been identified and the relevant Company has requested access. In such case, the User consents to their User Data being shared through Marcel as described herein. No personal data shall be made available to third parties without the User’s prior consent, except as required by law. Where the culture-fit score is below fifty percent (50%), User Data will not be shared with the Company concerned unless the User gives explicit consent. If a Company does not use the CFILytics® questionnaire, no culture-fit score is calculated, and the User Data will automatically be shared by virtue of the User applying to that Company; by doing so, the User expressly consents to such sharing. In such case, the User will not be referred to the talent pool (see Article 9.3 below).

9.2 Purpose of processing: The User acknowledges that the collection, sharing, storage, and deletion of personal data by Companies within the Platform or Marcel are governed by the privacy policy of the relevant Company whose environment the User accesses or whose vacancies the User responds to. Users should refer to that Company’s privacy policy for further information.

9.3 Talent pool and alternative matches: If the User’s culture-fit score for a vacancy is below fifty percent (50%) and the relevant Company permits applicants who engaged with Marcel through its career page to be included in a talent pool, the User will be invited to visit a landing page displaying other Companies within the Marcel network where the User achieves a culture-fit score above fifty percent (50%). The User may then select one or more Companies by means of a “like” function. By doing so, the User consents to the liked Company contacting them through Marcel in the event of mutual interest.

9.4 Contact: Companies receive limited visibility of applicants only when an application has been submitted through their career page and the culture-fit score exceeds fifty percent (50%), or when the applicant has liked their landing page. To initiate direct contact, the Company must use credits. All initial communication takes place exclusively via Marcel. No direct contact details (such as telephone number or email address) are shared unless the User explicitly chooses to disclose them.

9.5 Legal basis and consent: The processing and transfer of personal data in cases of a culture-fit score of fifty percent (50%) or lower, inclusion in the talent pool, or use of the “like” function occur solely on the basis of the applicant’s explicit and informed consent. Further details on how Matcher.jobs processes personal data are available in the Matcher.jobs Privacy Policy, accessible on the Matcher.jobs website. Applicants may withdraw their consent at any time without affecting the lawfulness of processing carried out prior to withdrawal.

10. SHARING OF USER DATA FROM PLATFORM USERS 

10.1 As a User acting in the capacity of an employee, staff member, freelancer or other representative, you may be invited to complete specific cultural questionnaires via the Platform to refine the team profile and the values and norms of the Company, thereby enabling a more accurate calculation of applicants’ culture-fit scores. In such cases, your individual responses will not be provided to the Company. They will only be used in anonymised form within the Platform.


11. DATA PROTECTION 

11.1 Matcher.jobs, acting as data controller, processes personal data of Users during the use of the Platform and Marcel in accordance with its Privacy Policy, available on the Matcher.jobs website (www.marcel.jobs) and within the Platform or Marcel.

11.2 For further information regarding the duration and purposes for which Companies process your personal data within their environments, you should refer to the privacy policies of the relevant Companies. Such Companies are obliged to provide you with information on their processing activities upon simple request.


12. AVAILABILITY OF THE PLATFORM 

12.1 Matcher.jobs endeavours to make the Platform and Marcel continuously available to Users. However, Matcher.jobs does not guarantee uninterrupted access or that the Platform and/or Marcel will be available at all times, in all geographical areas, at every location, or on every device. In the event of maintenance, force majeure, malfunctions, events beyond Matcher.jobs’ reasonable control, or necessary (planned or unplanned) maintenance to ensure proper functioning, the Platform and/or Marcel may be temporarily unavailable.

12.2 To use the Platform and Marcel, the User must, at their own expense, ensure the availability of the necessary device and an active data and internet connection.

12.3 The software version of the Platform and Marcel may be updated from time to time to introduce new functions and services. Such maintenance and/or updates may be performed without prior notice to the User.


13. SUPPORT 

13.1 If you encounter problems while using the Platform or Marcel, or have questions about their operation, you can consult the FAQ section and help centre available on our website or use any of the support channels provided through the Platform, Marcel, or the website.

13.2 From time to time, Matcher.jobs may provide additional support channels. If you use such support channels, Matcher.jobs will endeavour to respond as promptly as commercially reasonable.

13.3 Matcher.jobs provides the above-mentioned support on a best-efforts and commercially reasonable basis. However, please note that Matcher.jobs does not undertake any obligation to resolve issues or answer questions.


14. THIRD-PARTY PRODUCTS AND SERVICES 

14.1 The Platform and/or Marcel may contain links to, be built upon, or function only in combination with third-party platforms, software, products, databases, systems, and/or services (“Third-Party Systems”), including but not limited to hosting partners and WhatsApp. These Terms do not apply to such Third-Party Systems, which are governed solely by the applicable terms and conditions of the relevant third party. You are solely responsible for obtaining sufficient licences and usage rights from such third parties for any use of Third-Party Systems.

14.2 Any warranties, indemnities, or support provided by Matcher.jobs under these Terms in respect of the Platform, Marcel, and/or services do not apply to such Third-Party Systems. Furthermore, you acknowledge that Third-Party Systems may be unavailable during (un)planned maintenance by those third parties. Matcher.jobs and such third parties shall not be liable for any damages arising from such unavailability.

14.3 Matcher.jobs cannot be held responsible for the use of such Third-Party Systems or for any impact their use may have on the Platform or Marcel. When using the Platform or Marcel, the User shall at all times comply with all applicable terms of the relevant third party (as may be amended by such third party from time to time).

15. CONFIDENTIALITY 

15.1 The User, Matcher.jobs, and the Companies (each a “Receiving Party”) may become aware of or gain access to confidential information relating to any of the aforementioned parties (each a “Disclosing Party”). Each Receiving Party shall:

i. treat the Disclosing Party’s confidential information as strictly confidential and take all necessary measures to preserve its confidentiality;

ii. not disclose such information, in whole or in part, to any third party without the prior written consent of the Disclosing Party (except to its employees, agents, advisors, or consultants on a strict “need-to-know” basis for the performance of these Terms and who are bound by confidentiality obligations equivalent in substance to those set out in this clause); and

iii. not copy, reproduce, or otherwise exploit the confidential information except as expressly permitted under these Terms.

15.2 The Receiving Party shall not use the Disclosing Party’s confidential information for any purpose other than the performance of these Terms.

15.3 The obligations set out in this clause shall take effect upon acceptance of these Terms and shall remain in force for a period of five (5) years following the date on which the confidential information was first disclosed.


16. INTELLECTUAL PROPERTY RIGHTS 

16.1 The User acknowledges that all Intellectual Property Rights in or relating to the Platform and Marcel are the exclusive property of Matcher.jobs and that the Platform and Marcel are protected by copyright and other applicable laws under local, national, and international regulations.

16.2 Matcher.jobs grants no rights to the User in respect of the Platform and/or Marcel other than those expressly provided for in these Terms. The rights described herein are licensed (not sold), and the User acquires no title, Intellectual Property Rights, or ownership of any kind in the Platform or Marcel.

16.3 Unless expressly authorised in these Terms, the User shall not, without the prior written consent of Matcher.jobs, directly or indirectly:

i. sell, license, rent, transfer, distribute, or otherwise make the Platform and/or Marcel available to any third party;

ii. reproduce, copy, duplicate, decompile, reverse-engineer, modify, or create derivative works of the Platform and/or Marcel;

iii. remove or circumvent any technical protections of the Platform and/or Marcel; or

iv. remove or alter any copyright or proprietary notices appearing on or within the Platform and/or Marcel.

16.4 The User shall refrain from any act that could damage or adversely affect Matcher.jobs’ trademarks, brand reputation, or goodwill.


17. WARRANTIES 

17.1 The Platform, Marcel, and related services are provided on an “as is” basis. To the fullest extent permitted by applicable law, Matcher.jobs disclaims all warranties and representations, whether express or implied, including but not limited to warranties concerning data accuracy or completeness, merchantability, fitness for a particular purpose, non-infringement of third-party rights, or error-free operation of the Platform and Marcel.

17.2 The User acknowledges that:

i. Companies are solely responsible for creating their cultural profiles and for the accuracy, legality, and timeliness of all job postings and related information displayed on their career pages or accessible via QR codes or URLs. Matcher.jobs shall not be held liable for material errors, typographical mistakes, or other inaccuracies in such Company-provided content available via Marcel and/or career pages;

ii. although the CFILytics® core questionnaire is scientifically validated, Companies may add supplementary questions or decision trees over which Matcher.jobs has no control. Matcher.jobs is therefore not responsible for the content, accuracy, or legality of such Company-added questions or structures;

iii. Matcher.jobs uses commercially reasonable efforts to deliver accurate and scientifically grounded culture-fit assessments but cannot guarantee their precision, as the results depend on the quality and accuracy of data provided by Companies and Users;

iv. Matcher.jobs is not responsible for any results or recommendations generated by the Platform or Marcel. Such outputs do not constitute professional advice and are not intended to replace human judgement or recruitment evaluation; and

v. Companies remain solely responsible for verifying candidate credentials, references, and suitability, and for making all final decisions concerning interviews and recruitment.

 

18 LIABILITY

18.1 To the fullest extent permitted by applicable law, whether the loss or damage arises in negligence, breach of contract, breach of statutory duty or otherwise, Matcher.jobs shall:

i. be liable only for direct loss or damage caused by Matcher.jobs and only to the extent such loss or damage was foreseeable;

ii. cap its liability for direct loss or damage, per event (or series of connected events), at the lower of: (i) fifty euros (€50); or (ii) the amount actually paid out under Matcher.jobs’ insurance policies; and

iii. exclude all liability for any indirect, punitive, special, consequential or similar loss or damage, including (without limitation) loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, and damage to reputation arising out of or in connection with the use of the Platform or Marcel.

18.2 Matcher.jobs shall in no event be liable for loss, damage, costs or expenses related to the use of the Platform or Marcel that are caused by any negligence, carelessness or fault of the User or third parties, unless such loss, damage, costs or expenses are caused by wilful misconduct, fraud or gross negligence of Matcher.jobs.

18.3 Matcher.jobs shall not be responsible or liable for any failure or delay in performing its obligations under these Terms to the extent caused by force majeure. In such case, Matcher.jobs shall—so far as commercially reasonable and feasible—take the steps necessary to mitigate the effects of the force majeure.

 

19 CHANGES

19.1 Matcher.jobs may at any time modify the Platform and Marcel to improve their operation or to reflect changes to, or additional, laws, operating systems, security requirements or functionalities. Matcher.jobs may also make upgrades or updates to the Platform and Marcel available.

19.2 Matcher.jobs may amend these Terms at any time. The date of the most recent version appears on the first page of these Terms. Please review these Terms regularly to remain informed of changes that may affect you.

19.3 Amended versions of these Terms shall take effect ten (10) days after publication within the Platform, Marcel and/or on the website, unless the changes are required to comply with applicable law (in which case the change may take effect immediately) and shall, where necessary, be submitted for your approval. By accepting the amended Terms or by using the Platform or Marcel after the Terms have been amended in accordance with this clause, the User agrees to be bound by the amended Terms. If you do not agree to the amended Terms, you must cease using the Platform and Marcel.

 

20 SUSPENSION AND/OR TERMINATION OF USER ACCOUNT

20.1 These Terms apply for so long as the User holds a user account on the Platform and/or has access to or uses the Platform or Marcel.

20.2 Matcher.jobs may suspend and/or terminate your access to the Platform or Marcel without formality and without prejudice to any other right available to Matcher.jobs under applicable law if:

i. Matcher.jobs reasonably believes that the User has breached any provision of these Terms; or

ii. the licence agreement of the Company whose Platform environment the User accesses is terminated or dissolved.

20.3 Any provisions of these Terms which expressly or by implication are intended to survive termination shall remain in full force and effect following the cessation or termination of your access to and use of the Platform and Marcel, including, without limitation, provisions relating to Intellectual Property Rights and limitation of liability.

22 MISCELLANEOUS

22.1 The User may not assign or transfer its rights or obligations arising under these Terms to any third party without the consent of Matcher.jobs. Matcher.jobs may assign, transfer and/or subcontract any of its rights or obligations under these Terms to its affiliates or to third parties without your prior consent.

22.2 If any provision of these Terms is held to be invalid or unenforceable for any reason, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed amended to the minimum extent necessary to make it valid and enforceable to the extent permitted by law.

22.3 These Terms shall be governed by and construed exclusively in accordance with the laws of Belgium (excluding its conflict-of-laws rules).

22.4 The courts of Antwerp (division Antwerp) shall have exclusive jurisdiction over any disputes relating to these Terms, without prejudice to the consumer’s right to bring a dispute before a competent court pursuant to a mandatory statutory provision.
